Increased Voting Rights

The extraordinary shareholders’ meeting of 30 April 2020 approved, inter alia, the amendment to article 6 of the articles of association of Unipol Gruppo S.p.A., introducing shares with increased voting rights pursuant to article 127-quinquies of Legislative Decree of 24 February 1998 no. 58 as amended.

These shares were introduced in order to foster a medium-long term approach to investment by shareholders, encouraging the presence of stable investors to lay the grounds for a long-term increase in the share value of the Company and to support company growth that can ensure sustainable profitability.

The articles of association provide that two votes can be assigned to each share held by any shareholder who asks to be registered on a Special List - maintained and updated by the Company - and who has held the share continuously for period of not less than 24 months starting from the date of registration on said List.

Any interested shareholders may submit a request to be registered on the Special List exclusively through their agents using the format published in this section of the Company website. 

The terms and procedures governing registration on the Special List and its maintenance and update in accordance with the provisions of applicable law, the articles of association and market practice, are described in the “Rules for Shares with Increased Voting Rights” which are also published in this section of the Company website.
